Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract made between you, whether personally or on behalf of an entity ("you") and FLEX FLOW AI LLC ("Company", "we", "us", or "our"), a limited liability company registered in Armenia, concerning your access to and use of the website located at agent-ui.net and all related applications, widgets, APIs, and customer support orchestration tools (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Eligibility: The Service is intended exclusively for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Agent-UI is a Software-as-a-Service (SaaS) platform that enables businesses and individuals to build, train, configure, and embed AI-powered customer support chatbots on their websites and digital applications. Core capabilities include:

• Ingestion and parsing of documents, FAQs, and web URLs.
• Vector similarity search and semantic retrieval using PostgreSQL (pgvector).
• Real-time prompt construction and inference via commercial AI APIs.
• Live chat widget embedding, visitor lead capture, and human agent handoffs.

We continuously improve the Service and reserve the right to modify, suspend, restrict, or discontinue any part of the Service at any time, including for security, operational, legal, business, or technical reasons, without liability to you.

To access the platform, you must register for an account using our authentication provider (Clerk). You agree to provide accurate, current, and complete registration information and to keep your credentials confidential.

Account & Key Security: You are solely responsible for maintaining the security of your account, passwords, and any API keys or webhook secrets generated within Agent-UI. You are fully responsible for all activities, queries, and charges that occur under your account. You must notify us immediately at support@flex-flow.ai if you discover any unauthorized access or security incident.

Merchant of Record: Our order fulfillment, recurring subscription billing, tax calculation (including VAT/Sales Tax), and payment processing are conducted by our reseller and Merchant of Record, Paddle (Paddle.com Market Limited / Paddle Payments). When purchasing a paid plan (Starter, Pro, Business), you enter into a transaction with Paddle and agree to Paddle's Checkout and Buyer Terms.

Recurring Renewals: Paid subscriptions are billed in advance on a recurring periodic cycle (monthly or annually). Your payment method on file will be charged automatically at the start of each billing cycle unless you cancel your plan prior to the renewal date.

Plan Limits & Quotas: Each tier includes allocations for chatbots, knowledge sources, and monthly message volume. If your usage exceeds plan limits, we reserve the right to throttle queries or require an upgrade to a higher tier.

Cancellation: You may cancel your subscription at any time directly from your Agent-UI Dashboard settings or via the Paddle customer billing portal. Upon cancellation, your subscription will remain active with full feature access until the conclusion of the current prepaid billing period. At the end of the period, your account will transition to the free tier or disabled state without further charges.

The Service integrates with third-party artificial intelligence and cloud providers, including but not limited to OpenAI, Google (Gemini), and Anthropic (collectively, "Third-Party Providers").

Agent-UI acts as an orchestration platform. We do not provide, control, or guarantee the availability, accuracy, latency, performance, pricing, policies, or ongoing functionality of any Third-Party Provider or its underlying models. Any use of such third-party services is subject to the applicable provider's terms, policies, and acceptable use guidelines.

No Agency or Endorsement: Use of the Service does not create any agency, partnership, joint venture, employment, or endorsement relationship between FLEX FLOW AI LLC and any Third-Party Provider.

Third-Party Suspension: We are not liable if your content or chatbot interactions trigger content filters, rate limits, or account actions from any Third-Party Provider.

User Content Ownership: You retain all ownership, intellectual property rights, and title in and to any materials, documents, URLs, FAQs, or text you upload or submit to train your chatbots ("User Content").

Limited License: By submitting User Content, you grant FLEX FLOW AI LLC a limited, non-exclusive, worldwide, royalty-free license to parse, vectorize, store, and query User Content solely as necessary to provide, maintain, secure, and fulfill your requests through the Service.

Generated Output & Verification: The Service utilizes artificial intelligence to generate answers, suggestions, and customer support messages ("Generated Content"). You are solely responsible for reviewing, configuring, and verifying all system prompts and Generated Content delivered to your website visitors. You assume all risks associated with the deployment and publication of Generated Content.

Output Ownership & Protection: We do not claim ownership of Generated Content produced through your use of the Service. However, we do not represent or warrant that Generated Content is eligible for copyright or exclusive intellectual property protection under applicable laws or Third-Party Provider terms.

You agree not to use the Service, or permit others to use the Service, to:

• Use the Service for any unlawful, fraudulent, deceptive, or malicious purpose.
• Upload or distribute content that infringes upon the intellectual property rights, privacy rights, or publicity rights of any third party.
• Attempt prompt injection attacks, reverse engineer application source code, or circumvent our security controls and rate limiters.
• Scrape, crawl, or ingest websites or documents without explicit authorization or in direct violation of the target site's robots.txt or terms of service.
• Distribute unsolicited spam, phishing attacks, malware, or deceptive communications.
• Violate the Acceptable Use Policies or Terms of Service of any Third-Party Provider (OpenAI, Google, Anthropic).

We reserve the right to immediately suspend or terminate any chatbot or account found in violation of this Acceptable Use Policy without liability.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK.

To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Specifically, we make no guarantees, representations, or warranties regarding:

• Error-Free Operation: That the Service will be uninterrupted, timely, bug-free, or free of inaccuracies.
• Availability: Continuous uptime or that the Service or third-party LLM endpoints will always be accessible.
• Accuracy: The correctness, factual accuracy, or completeness of chatbot output or Generated Content.
• Security: That the Service will be completely immune to unauthorized access, hacking, data loss, or other security breaches.
• Results & ROI: Any specific business outcome, lead conversion rate, or return on investment from deploying chatbots.
• Professional Advice: The Service does not provide legal, medical, financial, or other licensed professional advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLEX FLOW AI LLC, OR OUR DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, REPUTATIONAL DAMAGE, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. IF YOU HAVE NOT PAID US ANY AMOUNTS DURING THAT PERIOD, OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, liability shall be limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless FLEX FLOW AI LLC, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

• Your User Content, knowledge base documents, or training data.
• Your use or deployment of the chatbot widget on your website.
• Your violation of these Terms of Service.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Your violation of the Terms of Service or Acceptable Use Policies of any Third-Party Provider (e.g., OpenAI, Google, Anthropic).

We may suspend or terminate your account and access to the Service at any time, for any reason or no reason, and without advance notice, particularly for violations of these Terms, non-payment, or security risks. If we terminate or suspend your account for cause, you are strictly prohibited from registering a new account under your name, a fake identity, or through any third party.

Following termination, your access to the Service will be disabled and your data will be handled in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, liability limitations, indemnification, and dispute resolution clauses.

FLEX FLOW AI LLC shall not be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond our reasonable control, including, without limitation, internet failures, cloud infrastructure downtime, electrical power failures, strikes, riots, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, or upstream non-performance of third-party API providers.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed exclusively in accordance with the substantive laws of the Republic of Armenia, without giving effect to any choice or conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the competent courts located in Yerevan, Republic of Armenia, and you irrevocably submit to the exclusive jurisdiction of such courts.

Entire Agreement: These Terms of Service, together with our Privacy Policy, constitute the entire agreement and understanding between you and FLEX FLOW AI LLC concerning the Service, superseding all prior or contemporaneous communications or agreements.

Severability: If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of any remaining provisions.

No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

We reserve the right to modify, update, or replace these Terms unilaterally and without obtaining your prior consent, subject to applicable law. We will publish the updated Terms and revise the "Effective Date" on this page. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by applicable law.
